1. Acceptance of Terms

By accessing, browsing, or using the website of NWAT Global Trading & Contracting (www.nwatglobal.com), or by engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you ("the Client," "you," or "your") and NWAT Global Trading & Contracting ("NWAT Global," "we," "our," or "us").

If you do not agree with any provision of these Terms and Conditions, you must immediately discontinue use of our website and services. These terms shall be governed by and interpreted in accordance with the laws of the Kingdom of Saudi Arabia, including the Saudi Commercial Law (Royal Decree No. M/48, dated 14/2/1441H) and the Saudi E-Commerce Law (Royal Decree No. M/126, dated 7/11/1440H).

3. Services Description

NWAT Global Trading & Contracting is a Saudi Arabia-based company providing the following professional services across the Kingdom and the wider region:

  • Global Supply & Procurement: Sourcing, importing, and distributing industrial materials, equipment, and supplies from international manufacturers and suppliers.
  • Construction & Contracting: General contracting services, including civil works, building construction, infrastructure development, and project management.
  • Coating & Surface Solutions: Supply and application of industrial coatings, paints, protective linings, and surface treatment solutions for commercial and industrial projects.
  • Equipment Parts & Maintenance: Supply of spare parts, components, and maintenance services for heavy machinery, cement mixers, and industrial equipment.

The scope, specifications, and deliverables of any engagement shall be defined in a separate written agreement, purchase order, or quotation accepted by both parties.

4. Quotations & Pricing

All quotations provided by NWAT Global are subject to the following conditions:

  • Quotations are valid for a period of thirty (30) calendar days from the date of issuance, unless otherwise stated in writing.
  • All prices are quoted in Saudi Riyals (SAR) unless otherwise specified and are exclusive of Value Added Tax (VAT) at the prevailing rate as mandated by the Saudi Zakat, Tax and Customs Authority (ZATCA).
  • NWAT Global reserves the right to revise quotations in the event of significant fluctuations in raw material costs, currency exchange rates, or supply chain disruptions.
  • A quotation shall not constitute a binding contract until formally accepted by the Client in writing and confirmed by NWAT Global through an official purchase order or contract.
  • Custom or special-order items may require additional pricing confirmation and lead times.

5. Orders & Delivery

Upon acceptance of a quotation and confirmation of an order:

  • Delivery timelines shall be communicated at the time of order confirmation and are estimated based on product availability, manufacturing schedules, and shipping logistics.
  • NWAT Global shall use commercially reasonable efforts to meet agreed delivery dates. However, delivery dates are estimates and shall not be considered time of the essence unless expressly agreed in writing.
  • Risk of loss or damage to goods shall transfer to the Client upon delivery at the agreed destination or upon collection from our premises, whichever occurs first.
  • The Client is responsible for inspecting all goods upon delivery and reporting any defects, shortages, or damages in writing within seven (7) business days of receipt.
  • NWAT Global shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to customs clearance, port congestion, government restrictions, or third-party logistics failures.

6. Payment Terms

  • Payment terms shall be as specified in the relevant quotation, purchase order, or contract. Unless otherwise agreed, payment is due within thirty (30) days of invoice date.
  • For large or custom orders, NWAT Global may require an advance payment or deposit before commencing work or placing orders with suppliers.
  • All payments shall be made in Saudi Riyals (SAR) via bank transfer to the account details specified on our invoice, unless otherwise agreed in writing.
  • Late payments may incur a late payment charge in accordance with applicable Saudi commercial regulations. NWAT Global reserves the right to suspend or withhold further deliveries or services until overdue amounts are settled in full.
  • Any disputes regarding invoices must be raised in writing within fourteen (14) days of the invoice date. Undisputed amounts remain payable in accordance with the original payment terms.

7. Warranties & Liability

NWAT Global warrants that:

  • All goods supplied shall conform to the specifications and descriptions set out in the accepted quotation or contract.
  • Construction and contracting works shall be carried out with reasonable skill and care, in accordance with applicable Saudi building codes and regulations.
  • Warranty periods for goods and services shall be as specified in the relevant contract or, where not specified, shall be twelve (12) months from the date of delivery or completion.

Limitations of liability:

  • To the maximum extent permitted by Saudi law, NWAT Global's total liability for any claim arising out of or in connection with our services shall not exceed the total value of the relevant contract or order.
  • NWAT Global shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, business interruption, or loss of data.
  • Warranties shall not apply to damage caused by misuse, improper installation, unauthorized modifications, or failure to follow maintenance instructions provided by NWAT Global or the manufacturer.

8. Intellectual Property

All content displayed on this website -- including but not limited to text, graphics, logos, images, design elements, photographs, and digital downloads -- is the exclusive property of NWAT Global Trading & Contracting or its licensors and is protected under the Saudi Copyright Law (Royal Decree No. M/41, dated 2/7/1424H) and international intellectual property treaties.

  • You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from this website without prior written authorization from NWAT Global.
  • The NWAT Global name, logo, and brand marks are registered trademarks. Unauthorized use of these marks is strictly prohibited.
  • Technical drawings, designs, specifications, and proprietary documents shared with the Client remain the intellectual property of NWAT Global and shall not be disclosed to third parties without our written consent.

9. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under any agreement where such failure or delay results from circumstances beyond the reasonable control of that party. Force majeure events include, but are not limited to:

  • Natural disasters, including earthquakes, floods, storms, and epidemics or pandemics
  • Acts of war, terrorism, civil unrest, or armed conflict
  • Government actions, sanctions, embargoes, trade restrictions, or regulatory changes
  • Strikes, labor disputes, or industrial actions
  • Interruptions to utilities, telecommunications, or transportation infrastructure
  • Supply chain disruptions, including port closures, raw material shortages, or supplier insolvency

The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact of the force majeure event. If such event continues for a period exceeding ninety (90) days, either party may terminate the affected agreement upon written notice.

10. Governing Law

These Terms and Conditions, and any contractual or non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia, including:

  • The Saudi Commercial Court Law (Royal Decree No. M/93, dated 15/8/1441H)
  • The Saudi Companies Law (Royal Decree No. M/132, dated 1/12/1443H)
  • The Saudi E-Commerce Law (Royal Decree No. M/126, dated 7/11/1440H)
  • The Saudi Government Tenders and Procurement Law, where applicable to government contracts
  • Shariah principles as applied by Saudi courts

The competent courts of Al Khobar, Eastern Province, Kingdom of Saudi Arabia, shall have exclusive jurisdiction over any disputes arising from or related to these Terms and Conditions.

11. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or in connection with these Terms and Conditions or any services provided by NWAT Global, the parties agree to the following dispute resolution process:

  • Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation between their authorized representatives within thirty (30) days of written notice of the dispute.
  • Mediation: If the dispute cannot be resolved through negotiation, either party may refer the matter to mediation through a mutually agreed mediator or through the Saudi Center for Commercial Arbitration (SCCA).
  • Arbitration or Litigation: If mediation fails, the dispute may be referred to arbitration in accordance with the Saudi Arbitration Law (Royal Decree No. M/34, dated 24/5/1433H), or either party may bring proceedings before the competent Commercial Court in Al Khobar, Eastern Province.

The language of any arbitration or legal proceedings shall be Arabic, and the seat of arbitration shall be Al Khobar, Kingdom of Saudi Arabia.

12. Amendments

NWAT Global reserves the right to update, modify, or replace these Terms and Conditions at any time at its sole discretion. Any amendments will be effective immediately upon posting to this page with an updated "Last Updated" date.

Material changes to these terms will be communicated through a prominent notice on our website. Your continued use of our website and services after the posting of any changes constitutes your acceptance of the revised Terms and Conditions. We recommend reviewing these terms periodically.
